A Space License is an annual subscription license granted by Alumio that entitles the Customer to use a specified number of Spaces.

A Space is an individual environment created by the Customer under the Space License.

Unless otherwise specified in this Addendum, the Space License and Spaces are subject to the same definitions, conditions, and obligations set out in the T&C.

The Space License shall commence on the agreed start date and shall have an initial fixed term of twelve (12) months (“Initial Term”).

Upon expiry of the Initial Term, the Space License shall automatically renew for successive periods of twelve (12) months each (“Renewal Term”), unless terminated in accordance with Article 17 of the T&C.

Termination of the Space License requires notice at least ninety (90) days prior to the end of the Initial Term or any Renewal Term.

Notice of automatic renewal will be provided via the Alumio system interface (e.g., dashboard or customer portal). Alumio is not required to provide separate written notice by email or post.

Each Space License includes the right to use up to three (3) Spaces at no additional charge.

Customers may create, use, and manage these three included Spaces at their discretion.

The creation of a fourth (4th) or more Spaces shall be deemed Addons and billed separately in accordance with Article 5 of this Addendum.

A Space may only be created under an active Space License.

When creating a Space, the Customer shall be informed of the applicable terms and conditions of the Space License.

Cancellation of a Space must be performed via the “Cancel Subscription” functionality.

Cancelling a Space does not affect the validity or duration of the Space License and does not entitle the Customer to any refund of fees paid.

A cancelled Space shall remain accessible until the end of the then-current Term of the Space License, unless reactivated earlier.

The use of three (3) Spaces is included in the annual fee for the Space License.

From the fourth (4th) Space onwards, each additional Space shall qualify as an Addon.

Addons are billed annually in advance, in alignment with the billing cycle of the Space License, and subject to Article 12 of the Alumio General T&C.

The applicable fees for additional Spaces shall be those agreed in the applicable License Agreement or Order Form. Billing frequency (monthly or annually) will follow the billing cycle agreed under the License Agreement.

Alumio is entitled to adjust the fees for the Space License and any additional Spaces annually by up to five percent (5%) to reflect inflation and cost developments, effective from each Renewal Term.

Each additional Space (Addon) created under the Space License shall be bound by the same Initial Term and Renewal Terms as the underlying Space License. The creation of anadditional Space does not establish a separate contract term.

Cancelled Spaces may be reactivated by the Customer without additional cost until the end of the Term of that particular Space License.

Upon expiration or termination of the Space License, all Spaces (including Addons) shall be automatically deleted, unless the Space License is renewed.

Data associated with deleted Spaces shall be handled and deleted in accordance with the Alumio General T&C and Alumio’s Privacy Policy.

Upon termination or expiration of the Space License, Alumio shall make Customer Data related to the Spaces available for export for a period of thirty (30) days before permanent deletion, unless otherwise agreed in writing.

For each Space, Alumio shall record in its systems:

Administrative records will be retained for a minimum of five (5) years, or longer where required by applicable law.

These records may be synchronized with HubSpot or other internal systems to ensure that Alumio’s financial and operational teams are automatically notified of new Spaces, Addons, and contract end dates.

Each Space is intended for use by the Customer in relation to a specific project, client, or internal business purpose. A Space may not be shared simultaneously across multiple unrelated clients or entities without Alumio’s prior written consent. Alumio reserves the right to reasonably withhold such consent where this would materially deviate from the intended use of Spaces.

Alumio reserves the right to suspend or terminate access to any Space if (i) the Space is used in violation of this Addendum, the T&C, or applicable law, or (ii) such use poses a material risk to the security, stability, or integrity of the Alumio platform. Alumio will notify the Customer without undue delay and will allow a reasonable cure period where feasible.
